Terms and Conditions for LacquerStash

1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and LacquerStash ("we," "us," or "our"), concerning your access to and use of the LacquerStash mobile application (the "App").

By accessing or using the App, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions.

2. Intellectual Property Rights

2.1 Our Intellectual Property

Unless otherwise indicated, the App is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the App (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us.

2.2 User Contributions and License

By uploading, posting, or submitting any content, including but not limited to images, nail polish lists, reviews, notes, and data (collectively, "User Contributions") to the App:

  1. Grant of License: You retain ownership of your User Contributions. However, you grant LacquerStash a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed.
  2. License to You: LacquerStash grants you a limited, non-exclusive, revocable license to view and access your User Contributions through the App solely for your personal, non-commercial use as part of the Service.

You represent and warrant that:

  • You are the creator and owner of the User Contributions or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us to use your User Contributions in any manner contemplated by the App and these Terms.
  • Your User Contributions do not infringe upon the proprietary rights of any third party.

3. GDPR Compliance and Data Rights

We are committed to complying with the General Data Protection Regulation (GDPR).

  1. Rights to Personal Data: We respect your rights to access, rectify, and erase your Personal Data (such as your email address and profile information) as defined in our Privacy Policy.
  2. Distinction from User Contributions: It is important to distinguish between your Personal Data and your User Contributions (as defined in Section 2.2).
    • While you have the right to request the deletion of your Personal Data, User Contributions you have submitted (e.g., nail polish photos, public reviews) are licensed to LacquerStash and will be anonymized upon account deletion, ensuring they are no longer considered Personal Data.
  3. Account Deletion: Upon a valid request for account deletion or erasure under GDPR:
    • Your Personal Data will be permanently deleted or anonymized within 30 days.
    • Your User Contributions may be retained by LacquerStash indefinitely to maintain the integrity of the community database, but will be fully anonymized and disassociated from your personal identity.

4. User Representations

By using the App, you represent and warrant that:

  1. All registration information you submit will be true, accurate, current, and complete.
  2. You will maintain the accuracy of such information.
  3. You are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the App.
  4. You will not use the App for any illegal or unauthorized purpose.

Age Restriction: You must be at least 16 years of age to use the App. If you are under 16, you are not permitted to register for or use the App.

5. Prohibited Activities and Acceptable Use

The App is specialized software for managing nail polish collections. Strict adherence to this purpose is required.

You may not access or use the App for any purpose other than that for which we make the App available. The App may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

Specific Prohibitions:

  1. Non-Polish Content (Free Storage Abuse): You are strictly prohibited from using the App as a file storage service for content unrelated to nail polish. This includes, but is not limited to, uploading personal documents, family photos, unrelated screenshots, or any other data that does not directly pertain to a nail polish collection.
  2. Private Non-Relevant Lists: You may not create private lists or collections for the purpose of storing non-relevant data.
  3. System Abuse: You may not interfere with, disrupt, or create an undue burden on the App or the networks or services connected to the App.
  4. Harassment: You may not use the App to harass, abuse, or harm another person.
  5. Scraping and Automation: You may not use bots, crawlers, scraping tools, or automated systems to access, extract, copy, or monitor any portion of the App or database.
  6. Impersonation: You may not impersonate another user or misrepresent your identity.
  7. Fraudulent Listings: You may not create misleading, deceptive, or fraudulent Destash Listings.
  8. Circumvention: You may not attempt to circumvent subscription limits, paywalls, or feature restrictions.

6. Destash Listings and Off-Platform Interactions

The App may allow users to create listings of nail polish items they wish to sell or trade ("Destash Listings"). LacquerStash provides listing and discovery functionality only.

LacquerStash:

  1. Does not process payments.
  2. Does not facilitate in-app messaging between users.
  3. Does not act as a broker, agent, escrow service, marketplace, or payment processor.
  4. Is not a party to any transaction between users.

Any communication, negotiation, or transaction between users occurs entirely outside the App and at the users’ sole risk.

We do not guarantee:

  • the accuracy of listings,
  • the authenticity or condition of items,
  • the legality of any listing,
  • the conduct of users,
  • the completion of any transaction.

LacquerStash is not responsible for disputes, losses, damages, or claims arising from off-platform interactions between users.

Users are solely responsible for complying with all applicable laws and regulations in connection with any listing, sale, trade, or communication.

7. Account Termination

We reserve the right, but not the obligation, to:

  1. Monitor the App for violations of these Terms
  2. We may review, moderate, remove, restrict, or disable access to any User Contributions, listings, images, reviews, ratings, or other content at our sole discretion, with or without notice.
  3. Suspend or Terminate your account in our sole discretion, without notice or liability to you, for any reason, including but not limited to breach of these Terms, fraud, or violation of the Prohibited Activities clause (Section 5).
  4. Delete Content: Remove from the App or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems or violate these Terms.

Permanent Ban: If your account is terminated for violating the "Free Storage Abuse" or "Non-Polish Content" policies, you may be permanently banned from the App, and all associated data may be irretrievably deleted.

8. Disclaimers

The App contains content submitted by users. We do not endorse, verify, or guarantee the accuracy, reliability, or legality of User Contributions, listings, reviews, ratings, or other user-generated content.

LacquerStash is not responsible for any communications, transactions, or interactions that occur via third-party platforms or services.

THE APP IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE APP SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APP AND YOUR USE THEREOF.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE APP'S CONTENT AND WE WILL ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (1) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT AND MATERIALS, (2) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE APP, OR (3) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN.

WE DO NOT GUARANTEE THE PRESERVATION OF YOUR DATA. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR CONTENT AND DATA. WE SHALL NOT BE LIABLE FOR ANY LOSS OF DATA OR CONTENT FOR ANY REASON WHATSOEVER.

9. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) TEN EUROS (€10).

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

10. Subscription and Payment Terms

Certain features of the App may require a paid subscription. Subscription billing, renewal, cancellation, and refunds are handled by the Apple App Store or Google Play Store, as applicable.

LacquerStash does not control billing processes conducted by these platforms.

We reserve the right to modify subscription pricing, features, and limits at any time, subject to applicable law.

11. Governing Law

These Terms shall be governed by and defined following the laws of the Federal Republic of Germany. LacquerStash and yourself irrevocably consent that the courts of Berlin, Germany shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

12. Indemnification

You agree to defend, indemnify, and hold harmless LacquerStash, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) your User Contributions; (2) use of the App; (3) breach of these Terms and Conditions; (4) any breach of your representations and warranties set forth in these Terms and Conditions; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the App with whom you connected via the App.

13. Service Availability

We reserve the right to change, modify, or remove the contents of the App at any time or for any reason at our sole discretion without notice. We also reserve the right to modify, suspend, or discontinue all or part of the App without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the App.

We cannot guarantee the App will be available at all times. We may experience hardware, software, or other problems or need to perform maintenance related to the App, resulting in interruptions, delays, or errors.

14. Force Majeure

We shall not be held liable for any failure to perform our obligations under these Terms where such failure results from any cause beyond our reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation (including "line-noise" interference), natural disasters, internet outages, or acts of God.

15. Dispute Resolution

Nothing in this section limits any mandatory consumer protection rights under applicable law.

Optional Arbitration: Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration.

If you are a consumer in the European Union, arbitration will apply only where permitted by applicable law and only with your explicit agreement in each individual case.

Class Action Waiver: You and LacquerStash agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
